Terms of Service

1. Introduction and Acceptance

Welcome to Meso. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MarketImpact Digital Solutions Ltd ("Meso", "we", "us", or "our"), a company registered in the Republic of Cyprus.

By creating an account, accessing, or using the Meso communication platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Meso is a communication platform that provides:

• App-to-App Communication: Free voice and video calls between Meso users, as well as instant messaging
• PSTN Calling: The ability to call traditional phone numbers worldwide using prepaid credit
• Group Features: Group messaging and group calls
• File Sharing: The ability to share images, documents, and voice messages

The Service is designed to work reliably on low-bandwidth connections (2G/3G networks), making it suitable for users in areas with limited internet connectivity.

3. Eligibility

To use the Service, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Not have been previously banned from the Service

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account using a valid email address. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password
• Not share your account credentials with any third party
• Notify us immediately of any unauthorised access or security breach
• Log out from your account at the end of each session when using shared devices

We are not liable for any loss or damage arising from your failure to comply with these security obligations.

4.3 One Account Per Person

Each person may only maintain one account. Creating multiple accounts may result in termination of all accounts.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You must NOT:

5.1 Illegal Activities

• Use the Service for any illegal purpose or in violation of any applicable law
• Transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Engage in fraud, phishing, or other deceptive practices
• Distribute malware, viruses, or other harmful software

5.2 Abuse and Harassment

• Harass, bully, intimidate, or threaten other users
• Impersonate any person or entity
• Send unsolicited communications (spam)
• Stalk or otherwise harass another person

5.3 Technical Abuse

• Attempt to gain unauthorised access to the Service, other accounts, or systems
• Interfere with or disrupt the Service or servers
• Circumvent any security measures or access controls
• Use automated means (bots, scrapers) without our express permission
• Reverse engineer, decompile, or disassemble any part of the Service

5.4 PSTN Abuse

• Make fraudulent or abusive PSTN calls
• Use the PSTN service for telemarketing without proper authorisation
• Engage in traffic pumping or other schemes to artificially inflate call volumes

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

6. PSTN Calling and Meso Credits

6.1 Nature of Meso Credits

Meso Credits are non-refundable, non-transferable service tokens that provide prepaid access to Meso's PSTN calling service. Meso Credits:

• Are NOT stored monetary value or electronic money
• Are NOT refundable for cash under any circumstances
• Cannot be transferred to other users
• Can only be used for PSTN calls through the Meso application
• Do not represent a debt, claim, or liability of MarketImpact Digital Solutions Ltd

By purchasing Meso Credits, you acknowledge that you are purchasing prepaid access to a telecommunications service, not electronic money or stored value. All purchases are processed by our payment provider (Revolut) and are subject to their terms of service.

6.2 Call Rates

Call rates vary by destination and are displayed before you initiate a call. Rates are charged per minute with a one-minute minimum. Your Meso Credits are reduced in real-time based on actual usage. We reserve the right to change rates at any time; updated rates will apply to calls made after the change.

6.3 No Refunds

If your account is terminated for violation of these Terms, any remaining Meso Credits are forfeited without compensation.

6.4 Credit Expiration

Meso Credits do not expire as long as your account remains active and in good standing.

6.5 EU Consumer Rights

By purchasing Meso Credits, you expressly request that the service begins immediately and acknowledge that you lose your right of withdrawal once the digital content (service access) has been provided. This is in accordance with Article 16(m) of Directive 2011/83/EU on consumer rights.

6.6 Emergency Services

7. User Content

7.1 Ownership

You retain ownership of all content you create, upload, or share through the Service ("User Content"). By using the Service, you grant us a limited licence to transmit, store, and deliver your User Content as necessary to provide the Service.

7.2 Responsibility

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to share your User Content and that it does not violate these Terms or any applicable law.

7.3 No Monitoring

We do not actively monitor User Content. However, we reserve the right to remove or disable access to any User Content that violates these Terms or applicable law.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by MarketImpact Digital Solutions Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

8.2 Trademarks

"Meso", the Meso logo, and other Meso trademarks are the property of MarketImpact Digital Solutions Ltd. You may not use our trademarks without our prior written consent.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation to you.

9. Third-Party Services

The Service may integrate with or provide links to third-party services (such as payment processors). These third-party services are subject to their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

10. Disclaimers

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• Any errors in the Service will be corrected

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or EUR 100, whichever is greater

These limitations apply regardless of the legal theory on which the claim is based, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless MarketImpact Digital Solutions Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of a third party

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting it through the Settings page. Upon termination, your right to use the Service will immediately cease.

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service
• Your account has been inactive for an extended period

13.3 Effect of Termination

Upon termination, your account and associated data will be deleted in accordance with our Privacy Policy. Any unused credits will be forfeited unless a refund is required by law. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you by email or through the Service
• Provide at least 30 days' notice before the changes take effect for material changes

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction.

If you are a consumer resident in the European Union, you may also have additional rights under EU consumer protection laws, which these Terms do not affect.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@meso.cy and attempt to resolve the dispute informally for at least 30 days.

17.2 EU Online Dispute Resolution

If you are a consumer in the European Union, you may use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Meso regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

18.5 Language

These Terms are written in English. If translated into other languages, the English version shall prevail in case of any conflict.
